1. General information

These Terms and Conditions (“Terms”) govern access to and use of the website zed-zen.com and all related subdomains (app.zed-zen.com, radio.zed-zen.com, pulse.zed-zen.com, meniu.zed-zen.com), as well as all products and services provided by:

By accessing and using any of our websites or products, you agree to these Terms. If you do not agree, please do not use the services.

2. Definitions

“Client” — a legal entity or authorised natural person (PFA/II — Romanian sole trader or individual enterprise) in the HoReCa sector that uses ZED-ZEN services
“User” — any person who accesses the ZED-ZEN platforms (client, client employee or visitor)
“Platform” — any web or mobile application operated by ZED-ZEN, including all subdomains
“Services” — all SaaS products, consulting services and physical products offered by ZED-ZEN
“Business Data” — information about the Client’s commercial activity (recipes, prices, statistics, reviews, playlists, etc.)
“Subscription” — the right to use a SaaS product against a recurring payment (monthly or annual)

3. Products and Services

ZED-ZEN provides the following products and services for the HoReCa industry:

3.1 SaaS products (Software as a Service)

ZED-ZEN App (app.zed-zen.com) — business intelligence platform: delivery analytics for Bolt, Glovo & Wolt, AI-assisted review management (Google & TripAdvisor), recipe costing, price optimisation, AI Studio (product photos & descriptions), Delivery Marketing, product & margin management, multi-brand & multi-location support
Radio by ZED-ZEN (radio.zed-zen.com) — centralised music management: playlists, AI-generated TTS advertising spots, scheduling & automation, remote volume control, real-time monitoring, multi-location sync, YouTube import
Pulse by ZED-ZEN (pulse.zed-zen.com) — NFC & QR code review system: review collection per waiter, smart redirect (positive reviews to Google, negative ones stay private), analytics dashboard per waiter and per location, instant email alerts, QR generator & printable cards, CSV export
Meniu Digital (meniu.zed-zen.com) — QR/NFC digital menus with analytics: real-time order management, multi-language support, product customisation, POS integration
AI Photo Studio — AI generation of professional product photos, available within ZED-ZEN App or as a standalone service
HR Tool — HR management platform: digital timesheets, leave requests, employee scheduling, document management (in development)

3.2 Physical products

NFC Review Cards — custom NFC cards that direct customers to Google Reviews, TripAdvisor or social media profiles. Includes setup, NFC programming and custom design

3.3 Services

Custom WebApps — development of custom web applications with ERP/POS and Glovo On Demand integration: automatic courier dispatch, real-time delivery tracking, branded interface
HoReCa Consulting — operations optimisation, menu engineering, food cost, marketing strategy, team training, new venue launches (6+ years of experience, 150+ events organised)

Each product may have specific additional terms, communicated at the time of contracting.

4. Registration and accounts

Access to the SaaS platforms requires creating an account. Upon registration, the Client:

Warrants that the information provided is accurate, complete and up to date
Is responsible for keeping the access credentials (email, password) confidential
Is liable for all activities carried out through their account, including those of authorised employees
Undertakes to notify ZED-ZEN immediately in the event of unauthorised access or a security breach

5. Prices, subscriptions and payments

Prices are displayed on each product’s respective website and on the pricing page. All prices are expressed in EUR, excluding VAT (where applicable).

SaaS subscriptions — recurring monthly or annual payment. The subscription renews automatically at the end of the period
Payment — processed through Stripe. ZED-ZEN does not store your card details.
Cancellation — you may cancel at any time from the dashboard or by contacting us. Cancellation takes effect at the end of the current paid period. No partial refunds are granted
Price changes — we will notify existing clients at least 30 days before any price change. Clients who do not accept the new price may cancel the subscription
Physical products (NFC Cards) — payment is made when ordering. The price includes production, programming and delivery
Custom WebApps & Consulting — prices set individually by quote/contract

6. Licence to use

ZED-ZEN grants the Client a non-exclusive, non-transferable and revocable licence to use the SaaS platforms for the duration of the active subscription. This licence does not confer any ownership rights over the software, the source code or ZED-ZEN’s intellectual property.

7. Intellectual property

All content, trademarks (“ZED-ZEN”, “Pulse by ZED-ZEN”, “Radio by ZED-ZEN”), logos, software, design and intellectual property on our platforms belong to FORTITUDO VINCIT SRL or its licensors.

Business Data entered by the Client (recipes, prices, playlists, reviews, employee information, etc.) remains the property of the Client. ZED-ZEN processes it solely for the purpose of providing the contracted services.

8. User obligations

To provide accurate and complete information at registration and in forms
To use the services in compliance with applicable law
Not to attempt unauthorised access to systems, other users’ accounts or confidential data
Not to use the platforms for illegal, fraudulent or abusive activities
Not to copy, decompile or modify the ZED-ZEN software (reverse engineering)
Not to redistribute, sublicense or resell access to the platforms without written consent

9. Service availability

ZED-ZEN makes reasonable efforts to ensure the platforms are available 24/7. However, we do not guarantee uninterrupted operation. The services may be temporarily unavailable due to:

Scheduled maintenance (with prior notice)
Software and security updates
External factors: unavailability of third-party providers (Supabase, AWS, Railway, Stripe), connectivity problems, force majeure

10. Limitation of liability

ZED-ZEN shall not be liable for:

Indirect, incidental or consequential damages (loss of profit, data, business opportunities)
Third-party generated content (Google reviews, customer comments)
Business decisions made on the basis of platform data (prices, costing, analytics)
Unavailability of integrated third-party services (Bolt, Glovo, Wolt, Google, Stripe, YouTube, etc.)

ZED-ZEN’s maximum liability is limited to the total amount paid by the Client in the last 12 months for the service concerned.

11. Term and termination

Term — the Terms apply for the entire period during which the services are used
Termination by the Client — at any time, by cancelling the subscription from the dashboard or by written notice. Access continues until the end of the paid period
Termination by ZED-ZEN — in the event of a breach of the Terms, with 15 days’ prior notice (except for serious breaches, where termination may be immediate)
Data export — the Client has 30 days from termination to request an export of the Business Data. After 90 days, the data will be permanently deleted

12. Confidentiality

Both parties undertake to keep confidential the commercial information obtained in the course of the contractual relationship. This obligation remains in force for a period of 5 years from the end of the relationship.

13. Personal data protection

Personal data is collected and processed in accordance with the Privacy Policy and the GDPR (EU Regulation 2016/679). Information about cookies is available in the Cookie Policy. ZED-ZEN acts as controller for users’ authentication data and as processor for Clients’ Business Data.

14. Force majeure

Neither party shall be liable for failure to perform its obligations caused by force majeure events: natural disasters, wars, pandemics, cyberattacks, internet or power outages, legislative changes, etc.

15. Dispute resolution

These Terms are governed by Romanian law. The parties will attempt to settle any dispute amicably within 30 days. Failing that, disputes will be settled by the competent courts in București, Romania.

Under EU law, consumers may use the European Online Dispute Resolution (ODR) platform: https://ec.europa.eu/consumers/odr

You may also use Alternative Dispute Resolution (ADR) mechanisms through ANPC — Soluționarea Alternativă a Litigiilor (the Romanian consumer protection authority’s ADR service).

16. Changes to the terms

We reserve the right to amend these Terms. For significant changes, we will notify clients at least 30 days in advance, by email and/or an in-platform notice. The updated version will be published on this page with the date of the last update. Continued use of the services after an amendment constitutes acceptance of the new Terms.
